These Terms and Conditions ("Terms") govern the use of services provided by Hershall Computing Private Limited (formerly known as cmXperts) ("the Company"). By accessing or using any of the services provided by the Company, you agree to be bound by these Terms.
1. Services
The Company provides software development services, including but not limited to customized web and mobile applications. The specific services provided will be detailed in a separate agreement between the Company and the client.
2. Payment
Payment terms will be outlined in the project agreement between the Company and the client. The client agrees to pay all fees and charges associated with the services provided by the Company as outlined in the agreement.
3. Intellectual Property
All intellectual property rights, including but not limited to copyrights, trademarks, and patents, related to the software developed by the Company, shall belong to the Company unless otherwise specified in writing.
4. Confidentiality
The Company and the client agree to keep confidential all proprietary information shared between them during the course of the project. This includes but is not limited to trade secrets, business plans, and technical information.
5. Warranty
The Company warrants that the software developed will perform substantially in accordance with the specifications outlined in the project agreement. Any defects or issues discovered within a reasonable period after delivery will be addressed by the Company at no additional cost to the client.
6. Limitation of Liability
The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided, even if the Company has been advised of the possibility of such damages.
7. Termination
Either party may terminate the agreement upon written notice if the other party breaches any material provision of these Terms and fails to remedy the breach within thirty (30) days of receiving written notice.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [jurisdiction]. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Pathankot, Punjab.
9. Modification of Terms
The Company reserves the right to modify these Terms at any time. Any such modifications will be effective immediately upon posting on the Company's website or notification to the client.
10. Entire Agreement
These Terms constitute the entire agreement between the Company and the client with respect to the services provided and supersede all prior or contemporaneous agreements and understandings, whether oral or written.
By using the services provided by Hershall Computing Private Limited, you acknowledge that you have read, understood, and agree to be bound by these Terms.
